Beautyscope (Distributor) has been appointed to distribute a variety of professional lines of hair care and related products. By way of registering with Beautyscope, you agree to the terms and conditions as outlined herein, and agree that Beautyscope does not assume any responsibility due to fraudulent or mis-representation by the purchaser. The purchaser must be a licensed cosmetologist and wishes to purchase Beautyscope products for personal and/or professional use only as appropriate on the terms of this Purchase and Non-Diversion Agreement (“Agreement”) which is supplemental to any additional Manufacturer's conditions of sale.

(a) Purchaser will not resell products to a third party other than individual clients of the purchaser.
(b) Purchaser will not resell products in bulk to any other parties or businesses.
(c) Purchaser will not resell products over the internet or through any form of mail-order or e-mail; and d) divert products in any other fashion.
(e) Purchaser agrees that any products marked “For Professional Use Only”, “Not For Retail Sale” or with similar language, including any hair coloring products or permanent waves, will be used by purchaser only or in an authorized salon for the purpose of providing services to clients.
(f) Purchaser agrees that it will not use products to refill previously used containers.
(g) Purchaser understands that packaging and labeling of products is necessary to comply with applicable legislation and that codes may be included in such packaging and labeling. Salon Purchaser agrees that it will not remove, obliterate, alter or otherwise tamper with any such packaging or labeling, including any codes applied to products.
(h) Purchaser recognizes that the sale by purchaser of products in any location other than an Authorized Salon will seriously damage a brand's reputation with the public, and the reputation of their products, and will violate the terms of this agreement likely causing even further action on behalf of Beautyscope or any of the brands sold by Beautyscope.
(i) Purchaser acknowledges that diversion will disrupt business relations with other salons that sell the same product and the brand's distributor group, and may cost distributor and brand substantial amounts of money to repurchase diverted products. Accordingly, purchaser agrees that if it violates this Agreement, either brand and/or Distributor shall be entitled to obtain an injunction against purchaser in any court of competent jurisdiction prohibiting such violation, and a judgment that the purchaser pay as damages a sum equal to the full retail price normally charged by purchaser for any products sold to purchaser that are resold by purchaser in violation of this Agreement, and that Purchaser will also pay as damages whatever costs and legal fees are incurred to recover all diverted products.
(j) The provisions of this Agreement are specifically intended to benefit the Purchaser, the brands and Distributor, and any one of them may bring an action to enforce the provisions of this contract.Beautyscope reserves the right to terminate or restrict temporarily or permanently any purchaser account that is suspected of or proven to be in violation of the terms of this Agreement.
(k) The purchaser acknowledges and accepts that the Distributor may at any time deal with in any way (including transfer, novate or assign) any or all of its rights and obligations under this Agreement to the brand or a related entity of the brand within the group of Beautyscope companies. The purchaser must, on the Distributor’s request, execute any documentation required (in the reasonable opinion of the Distributor) to facilitate such a transfer, novation or assignment.

The purpose of this agreement is to clearly outline the terms of sale for the complete portfolio of Eufora International products and the relationship entered into by Eufora, Eufora authorized representatives (Distributor) and the salon owner and/or salon stylists. The agreement is designed to keep the professional brand integrity of Eufora and protect against unauthorized reselling and grey market sales of Eufora products in the marketplace. The commitment Eufora has made to salon professionals in regards to the sale of products through professional salon channels relies heavily on each individual salon/stylist commitment to the terms as outlined. Please note that for the purposes of this agreement all salon owners, their stylists and independent contractor are referred to as "Salon"

1. Salon agrees that no less than 50% of the square footage of the facility is dedicated to professional services, and that no more than 50% of the square footage is dedicated to retail display and product sales.
2. Salon agrees that they provide full salon services and no more than 50% of their total gross sales are derived from retail sales to customers, and further agrees that financial documentation related to sales ratios will be made available to Eufora upon request.
3. Salon agrees to purchase Eufora branded products solely from their assigned distributor or Eufora sales representative as designated by Eufora.
4. Salon agrees to purchase Eufora branded professional products for their own in-salon service use ONLY, and further agrees not to make “professional use only” products available to salon clientele for purchase.
5. Salon agrees to sell to a customer/client only what is reasonable for their own personal use.
6. Salon agrees to sell the Eufora product portfolio ONLY to its local market salon clientele, and is prohibited from soliciting or offering for sale any Eufora products via the internet (except pursuant to Eufora’s Profit Sharing Program / Eufora Affiliate Program), direct mail order or any other unauthorized secondary outlet.
7. Salon agrees that eligibility for the Eufora Profit Sharing / Eufora Affiliate Programs are voluntary and participation in the program is for an indefinite period of time that either party may terminate upon written notice.
8. Salon agrees to report to Eufora any suspected unauthorized selling of Eufora products, and further agrees to report anyone attempting to purchase an amount of product that seems unreasonable for personal use or gift giving (known as collectors).
9. Salon agrees to uphold and promote the prestige image of Eufora by representing the COMPLETE Eufora product portfolio and displaying all brands and sub-brands together in their entirety for retail sale. Products include, but are not limited to, Eufora Hair Care, Eufora Beautifying Elixirs(TM), EuforaStyle and Eufora HERO for Men(TM). NOTE: Upon approval, Eufora HERO for Men may be chosen as a single product line for the Salon, independent of other Eufora Hair Care, but must be represented in its entirety.
10. Salon agrees to make available ongoing Eufora product knowledge education to all salon staff, and to participate in Eufora sponsored advanced education programs.
11. Salon agrees to obtain written approval, in advance from Eufora, for use of the Eufora name, brand logos and any proprietary images for use in web design, salon printed materials, promotional or charitable events. Eufora retains all copyrights, trademarks and other intellectual property rights in all of its electronic material.
12. Salon agrees to maintain a minimum purchase level of $500 per month, and FULL BRAND REPRESENTATION, in order to receive a listing on the Eufora Salon Locator.
I have read the above terms thoroughly and agree to abide by this Agreement in its entirety. I understand that any breach in the terms of this agreement including diversion of Eufora products or damage to Eufora brand name and intellectual property will result in legal action and prosecution to the fullest extent of the law. I further agree that all products purchased are used in relation to the salon name and address below.

Kevin Murphy USA, Inc. ("KM USA") manufactures and sells a unique line of hair care and related products under the Kevin Murphy mark, which are available for sale only to licensed salons or day spas, licensed cosmetologists and licensed barbers ("Licensed Salon Professionals") who qualify under and abide by all of KM USA’s policies relating to the use and sale of its products. To qualify to purchase KM USA products, a licensed salon or day spa must (a) generate at least 50% of its net revenues from providing professional services (e.g., hair styling and cutting services), rather than from selling products and other merchandise; and (b) not be located on the premises of a self-service, mass merchandise, discount department, grocery or drug store, flea market or swap meet, or similar store or facility, or operating in connection with any such store or facility ("Authorized Salon"). The undersigned Authorized Salon/Licensed Salon Professional ("Salon Purchaser") wishes to purchase KM USA products from the undersigned distributor of KM USA products ("Distributor") and Distributor is willing to sell KM USA products to Salon Purchaser under the following terms and conditions:
1. Salon Purchaser warrants and represents that she/he is a Licensed Salon Professional or it is an establishment that qualifies as an Authorized Salon as defined in this Agreement above.
2. Salon Purchaser agrees that all KM USA products (a) will be used by Salon Purchaser in its Authorized Salon in connection with providing services to its clients, or (b) in the case of retail products designed for use at home, will be sold only in Salon Purchaser’s Authorized Salon to its legitimate clients in quantities those clients reasonably need for personal use at home, and (c) will not be sold in any location that does not qualify as an Authorized Salon as defined in this Agreement above.
3. Salon Purchaser agrees that it will not resell KM USA products to any diverter or redistributor of products; will not sell KM USA products in bulk; will not sell KM USA products over the internet (whether through its own website, an online retailer,a cloud service provider such as Amazon.com, or otherwise) or through any form of mail-order or e-mail; and will not divertKM USA products in any other fashion. Salon Purchaser agrees that any products marked "For Professional Use Only," "Not For Retail Sale" or with similar language, including any hair coloring products or permanent waves sold by KM USA, shall not be resold by Salon Purchaser to anyone under any circumstances, but will be used by Salon Purchaser only in its Authorized Salon for the purpose of providing services to clients. Salon Purchaser agrees that it will not use KM USA products to refill previously used containers for sale to Salon Purchaser’s clients. Salon Purchaser will permit Distributor and/or KM USA, at reasonable times and upon two days’ notice, to enter the Salon Purchaser’s premises and inspect and audit Salon Purchaser’s records related to the purchase and sale of KM USA products, other professional products and professional services to ensure compliance with this Agreement and to combat diversion.
4. Salon Purchaser understands that KM USA and Distributor may apply codes to KM USA products for a number of reasons, including compliance with federal laws, protecting the public in the event of a recall and combating diversion. Salon Purchaser agrees that it will not remove, obliterate, alter or otherwise tamper with any codes applied to KM USA products.
5. Salon Purchaser recognizes that the sale of KM USA products in any location other than an Authorized Salon will seriously damage KM USA’s reputation with the public, and the reputation of its products, and will likely cause confusion as to KM USA’s approval of the sale of its products through such unauthorized locations. Salon Purchaser acknowledges that diversion will disrupt KM USA’s business relations with its Authorized Salons and KM USA distributors, and may cost KM USA substantial amounts of money to repurchase diverted products. Accordingly, Salon Purchaser agrees that if it or any of its employees or independent contractors violate this Agreement, KM USA and/or Distributor shall be entitled, without posting a bond, to obtain an injunction against Salon Purchaser in any court of competent jurisdiction prohibiting such violation, and a judgment that Purchaser pay to KM USA as damages a sum equal to the full retail price normally charged by Salon Purchaser for any KM USA products sold to Salon Purchaser that are resold by Salon Purchaser in violation of this Agreement, and that Salon Purchaser will also pay to KM USA as Damages whatever costs and attorneys’ fees are incurred by KM USA to protect its rights under this Agreement and to recover any such diverted product. KM USA and Distributor will be entitled to any and all additional remedies available at law or in equity in the event of a violation of this Agreement by Salon Purchaser or any of its employees or independent contractors.
6. Salon Purchaser agrees to take appropriate steps to advise all of its employees and independent contractors working at its Authorized Salon, if any, of the existence of this Agreement, and to assure their compliance with it. Salon Purchaser will be responsible for any breach of this Agreement by such employees and independent contractors as if they were a party to this Agreement. KM USA or Distributor has the right to withhold and not pay any credits, awards, money or other things of value that Salon Purchaser may otherwise be entitled to under any program offered by KM USA or Distributor, upon a determination by KM USA or Distributor that Salon Purchaser has breached a provision of this Agreement.
7. The provisions of this Agreement are specifically intended to benefit Salon Purchaser, KM USA and Distributor, and any one of them may bring an action to enforce the provisions of this Agreement. Either Salon Purchaser or Distributor may terminate this Agreement with respect to future purchases immediately upon notice for any reason or no reason.
8. This Agreement supersedes and replaces any Purchase and Non-Diversion Agreement (or similar agreement) associated with KM USA products to which Salon Purchaser is a party; provided, however, that to the extent Salon Purchaser was permitted to sell KM USA products utilizing the internet under an Addendum to a Purchase and Non-Diversion Agreement entered into during calendar 2020, such permission will continue until January 15, 2021. The permission will expire at the close of business on January 15, 2021 and after said date, Salon Purchaser may not sell any KM USA products utilizing the internet without the express written permission of KM USA or Distributor, which permission may be withheld for any or no reason. For the sake of clarity, nothing herein will affect the ability of Salon Purchaser to participate in the Kevin Murphy Salon Partner Program or Distributor’s Platform in accordance with the terms thereof.
9. This Agreement may be executed in one or more counterparts, and by the different parties hereto in separate counterparts, each of which when executed shall be deemed to be an original but all of which taken together shall constitute one and the same instrument. This Agreement will become effective when Salon Purchaser and Distributor shall have executed this Agreement. This Agreement may be delivered by facsimile, .pdf transmission or other electronic means (e.g., DocuSign).
10. The parties agree that this Agreement shall be governed by and interpreted in accordance with the laws of the State of New York (notwithstanding conflict of law rules).
